Questions

Is this for buying physical businesses or online businesses?
Both. The LOI and lender checklist work for any SBA 7(a) acquisition — brick-and-mortar, e-commerce, SaaS, content sites, Amazon FBA, service businesses. The checklist includes online-specific items (Stripe statements, GA screenshots, Amazon Seller Central) alongside traditional lender requirements.
Is the LOI template legally binding?
No — and it says so clearly in the document. LOIs are intentionally non-binding (except for the exclusivity and confidentiality sections, which most buyers want binding). You should always have your acquisition attorney review the LOI and any definitive purchase agreement before execution.
What DSCR does SBA actually require?
The SBA minimum is 1.25x — meaning your Net Operating Income must be at least 1.25 times your annual loan payment. Most individual lenders prefer 1.35x or higher. The calculator shows you both thresholds and your headroom above them.
I've never done an SBA loan before. Will this make sense to me?
